PUBLIC OFFER AGREEMENT

for IT Development Services in the European Union


1. IntroductionThis Public Offer Agreement ("Agreement") is a legally binding offer by Stavitskii Management UG (limited liability), a company established under the laws of EUID DEF1103R.HRB207321B, hereinafter referred to as the "Contractor", to provide IT development services to any natural or legal person ("Client") who accepts this offer via the website makeweb.tech.

This Agreement is subject to applicable EU laws, including Directive (EU) 2011/83/EU on consumer rights, and any national consumer protection legislation.
2. Subject of the AgreementThe Contractor agrees to provide IT development services, including but not limited to: software development, website and mobile app development, UI/UX design, consulting, testing, and other digital services, in accordance with the Client's specifications.

Details, scope, price, and duration of services are specified in each individual order or project quotation.
3. Acceptance of the OfferThe Client accepts this Agreement by:

- Submitting a request through the website or email
- Confirming an invoice or quotation
- Making full or partial payment for the services

Acceptance signifies that the Client agrees to the terms herein.
4. Execution and DeliveryThe Contractor will begin execution upon acceptance and any agreed prepayment. Services are considered delivered once the digital project or deliverable is submitted or made available via digital means.
5. Right of WithdrawalUnder Directive 2011/83/EU, the Client has the right to withdraw from a service contract within 14 days, unless:

- The Client has given express consent to begin service execution during the withdrawal period
- The service has been fully performed

In such cases, the right of withdrawal no longer applies.
6. Fees and Payment TermsService fees and payment terms are outlined in the confirmed quotation or invoice. All payments must be made in Euros or as agreed. The Contractor may require partial or full prepayment.

The Client is responsible for all applicable taxes or transaction fees.
7. Intellectual PropertyAll intellectual property created remains the property of the Contractor until full payment is received. Upon full payment, all rights to the final deliverables transfer to the Client unless otherwise agreed in writing.
8. ConfidentialityBoth parties shall keep confidential any proprietary or personal information shared during the project, in accordance with GDPR and professional standards.
9. Limitation of LiabilityThe Contractor shall not be liable for indirect or consequential losses. Total liability is limited to the amount paid by the Client for the specific services giving rise to the claim.
10. Governing Law and Dispute ResolutionThis Agreement shall be governed by the laws of EUID DEF1103R.HRB207321B.

Disputes shall first be resolved amicably. Failing that, they shall be referred to the competent courts in the Contractor’s jurisdiction.
11. AmendmentsThe Contractor may update this Agreement at any time by posting a new version on makeweb.tech. Continued use of the services after changes constitutes acceptance by the Client.
